WHEREAS, councils and committees should be active, dynamic
groups that serve the best interests of CMS, and
WHEREAS, leadership skills may be honed by chairing a
council or committee, and
WHEREAS, extending the opportunity to chair a council or
committee expands the number of physicians with leadership skills, and
WHEREAS, new leaders often bring new perspectives that may
engender more relevant discussions and promote ideas of value to the Society,
therefore be it
RESOLVED, that the Bylaws be amended as follows:
Chapter VI – Officers and Other Elected Officials
Section 13.
Grievance Review Committee Members
c. Terms of Office: The Grievance Review Committee members
shall be elected for terms of three years each, so arranged that the terms of
an equal number of the Grievance Review Committee members shall expire each
year. Grievance Review
Committee members each may serve up to two (three-year) terms of full
continuous service. A CHAIR MAY SERVE A MAXIMUM OF FOUR CONSECUTIVE
ONE-YEAR TERMS. Any Member CHAIR who has served the maximum number of
terms allowed shall not be eligible to serve in that position again until one
year has elapsed from the date of termination of the last term of service.
Section 14. Judicial Councilors
c.
Terms of Office: Judicial Councilors shall be elected
for terms of three years each, so arranged that terms of an equal number of
Judicial Councilors shall expire each year. Judicial Councilors each may serve up to three
(three-year) terms of full continuous service. A CHAIR MAY SERVE A MAXIMUM
OF FOUR CONSECUTIVE ONE-YEAR TERMS. Any Member CHAIR who has served the
maximum number of terms allowed shall not be eligible to serve in that position
again until one year has elapsed from the date of termination of the last term
of service.
Chapter
VIII - Councils and Committees
Section 1.
Councils
d. Chairs and Vice Chairs. Chairs and Vice Chairs shall be
appointed annually by the President from among members of the Councils. A CHAIR MAY SERVE A MAXIMUM OF FOUR
CONSECUTIVE ONE-YEAR TERMS.
Section
2. Committees: Chairs and members of committees shall
be nominated by the President and President-elect and appointed by the Board of
Directors. Voting members of
committees shall be Active Members of the Colorado Medical Society, unless
otherwise determined by the Board of Directors.
Chairs
of Committees shall be Active Members of the Society and where possible, shall
be selected from Council members.
WHERE POSSIBLE A MEMBER OF THE COMMITTEE IS ALSO A MEMBER OF THE COUNCIL
TO WHICH THE COMMITTEE REPORTS.
The Board, on recommendation of the President, President-elect and
Council Chairs shall appoint members and Chairs of Committees. As much as
possible Committee members shall represent all geographic portions of the
state; where indicated there shall be adequate specialty representation.
Committee terms shall expire annually at the close of the Annual Meeting,
except as otherwise provided in the Bylaws. A CHAIR MAY SERVE A MAXIMUM OF FOUR
CONSECUTIVE ONE-YEAR TERMS.
Section 3. Constitution and Bylaws Committee:
There
shall be a Committee of the Colorado Medical Society to be known as the
Constitution and Bylaws Committee, consisting of six CMS members. With advice
from the President and/or President-elect, the members of such Committee shall
be appointed by the President, for staggered terms of three years each. A CHAIR
MAY SERVE A MAXIMUM OF FOUR CONSECUTIVE ONE-YEAR TERMS. The Speaker of the
House shall be an ex officio non-voting member of the Committee. With respect
to the Articles of Incorporation, the Constitution and the Bylaws of this
Society, and to amendments to the constitution and bylaws of component
societies, this Committee shall 1) be a fact finding and advisory body, 2) make
a continuing review of these matters, and 3) report its recommendations to the
House of Delegates through the Board. Every five years there shall be a review
of Director Districts and Judicial Councilor Districts by the Constitution and
Bylaws Committee.
Section
4. Committee on PROFESSIONAL EDUCATION AND Accreditation: To provide necessary continuity,
members shall serve a three-year term. A CHAIR MAY SERVE A MAXIMUM OF FOUR
CONSECUTIVE ONE-YEAR TERMS. Committee members may serve not more than two
consecutive terms unless an exception is made by the Board of Directors. To
assure due process with respect to accreditation rulings, an organization
receiving an adverse decision may request a review of the decision by the
Committee on Professional Education and Accreditation. Further appeal of an adverse decision will
be through a hearing before an independent appeal board, the members of which
will be appointed by the Board of Directors. The Appeal BoardÕs decision shall be final (see policies and
procedures for CMS Program of Accreditation for continuing medical education).
Section
8. Attendance: Reports of
attendance shall be filed with Colorado Medical Society offices upon completion
of all official meetings. Chairs may request resignation of any member who is
absent HAS AN UNEXCUSED ABSENCE from any two consecutive meetings.
